

NIBC acquisition by ABN AMRO completed
NIBC today announces the completion of its acquisition by ABN AMRO, following the initial announcement of the transaction on 12 November 2025 and after receiving all required regulatory approvals. The shares in NIBC have now formally transferred from funds managed by Blackstone to ABN AMRO, making NIBC a wholly-owned subsidiary of ABN AMRO.
The completion of the transaction marks the start of a new chapter for NIBC. As part of ABN AMRO, NIBC will continue to build on its well-recognised client proposition and specialist expertise, now supported by ABN AMRO’s scale, strength and broader capabilities. NIBC remains fully committed to serving its clients with the dedication and entrepreneurial spirit that define the bank.

Governance
As a result of the transfer of shares, Qasim Abbas and Mathias Favetto will step down from the Supervisory Board. Their departure coincides with the end of the terms of Angelien Kemna and Susi Zijderveld. Effective immediately, Choy van der Hooft-Cheong, Ferdinand Vaandrager and Gitte van Haaren-Isbouts will join the Supervisory Board. The Supervisory Board now comprises Dick Sluimers (Chair), Leni Boeren (vice-chair), Jeroen Kremers, Joop Wijn, Choy van der Hooft-Cheong, Ferdinand Vaandrager and Gitte van Haaren-Isbouts.
The NIBC Management Board remains unchanged.

Next steps
Now that NIBC is a wholly-owned subsidiary of ABN AMRO, the next phase will begin, consisting of preparing for a legal merger and subsequent integration. Legal merger is subject to the approval by the relevant regulators and advice from the Works Council. By joining forces, ABN AMRO and NIBC can build on the strengths of both organisations, with the aim of delivering greater value to clients.
